(“Creyon”).

CREYON AND THE CREYON PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS WILL NOT EXCEED $100.

  1. Indemnification

You agree to indemnify and hold harmless Creyon and the Creyon Parties from and against any claims and resulting liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising from or relating to your breach of these Terms or your use of the Site. We will have the exclusive right to defend, at your expense, any claim for which you are obligated to indemnify us.

  1. Termination and Suspension

We reserve the right, in our sole discretion, to terminate or suspend these Terms or your access to all or any part of the Site at any time, for any reason and without notice or liability. We also reserve the right to change, suspend, or discontinue all or any part of the Site at any time without prior notice or liability.

  1. Governing Law and Forum Choice

These Terms and any action related thereto will be governed by the laws of the State of California, without regard to its conflict of laws provisions.

  1. General Terms

(a) Reservation of Rights. Creyon and its licensors exclusively own all right, title and interest in and to the Site, including all associated intellectual property rights. You acknowledge that the Site are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site.

(b) Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between Creyon and you regarding the Site, and these Terms supersede and replace all prior oral or written understandings or agreements between Creyon and you regarding the Site. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. Except where provided by applicable law in your jurisdiction, you may not assign or transfer these Terms, by operation of law or otherwise, without Creyon’s prior written consent. Any attempt by you to assign or transfer these Terms absent our consent or your statutory right, without such consent, will be null. Creyon may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

(c) Notices. Any notices or other communications provided by Creyon under these Terms will be given by posting to the Site.

(d) California Residents. If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Website of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210.

(e) Waiver of Rights. Creyon’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Creyon. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
